Entire Phalanger except for Extension Manager is written in C# and therefore is platform independent. So there shouldn't be any problem with running Phalanger without native PHP extensions on any 64bit platform where .NET Framework works.
The Ext Manager is 32bit only because there is no official 64bit Windows PHP extensions distribution. We have no information whether the source code of the extensions is 64bit compatible (we have no machine where to test it, if you have one you can try).
Anyway, it should work on 64bit platform in 32bit emulation mode.

I have attempted to install Phalanger 2.0 Beta 2 on Windows Server 2003 x64 with .NET Framework 2.0. I've noticed, however, that the install routine makes no modification to the %WINDIR%\Microsoft.NET\Framework64 folder tree, or the respective configuration files - but only to its 32-bit counterpart in the Framework subtree.
Regarding the 64-bit version of PHP, there is an unofficial project dealing with this:

They are, however, focused on the 5.x version of PHP.

It's likely that the installer is a 32-bit app, which means it's writing to the Wow3264 compatibility nodes.
